Terms and Conditions

These Terms and Conditions govern the use of the service PLZ-Gebietsplaner, operated by Bonus Service BS GmbH (the "Provider").
§ 1 Scope
(1) These Terms apply exclusively to entrepreneurs within the meaning of § 14 of the German Civil Code, public authorities and public-law entities. The service is not directed at consumers.
(2) Any conflicting terms of the customer are rejected unless the Provider expressly agrees to them in writing.
§ 2 Description of Services
(1) The Provider offers web-based software (SaaS) for planning sales territories. Core functions are retrieving street data by postal code via OpenStreetMap, automatic division into territories, map display and the assignment of staff to territories.
(2) Street and house-number data originate from the open OpenStreetMap project. The Provider does not warrant their completeness, timeliness or accuracy.
§ 3 Conclusion of Contract and Registration
(1) Use requires the registration of a user account. A usage contract is concluded upon completion of registration.
(2) The customer must keep access credentials confidential and protect them from third-party access.
§ 4 Prices
(1) The service is currently provided free of charge. There is no claim to permanent free use.
(2) The future introduction of paid plans is reserved and will be communicated to the customer in advance. Any prices are net plus the applicable statutory VAT.
§ 5 Terms of Use
(1) The customer may use the service only within the framework of applicable laws.
(2) The customer is solely responsible for ensuring that the data they enter – in particular names of assigned staff – may be lawfully processed and that any data protection requirements (e.g. informing the data subjects) are met.
(3) Abusive, automated or excessive use that impairs the availability of the service or of third-party services used (in particular the OpenStreetMap/Overpass infrastructure) is prohibited.
§ 6 Availability
The Provider endeavors to ensure high availability but, given the currently free provision, does not owe any specific availability. Maintenance and third-party disruptions (e.g. OpenStreetMap) may cause restrictions.
§ 7 Data Protection and Processing on Behalf
The processing of personal data is governed by the privacy policy. Insofar as the Provider processes personal data on behalf of the customer, the parties conclude a data processing agreement pursuant to Art. 28 GDPR at the customer's request.
§ 8 Liability
(1) The Provider is liable without limitation for intent and gross negligence, as well as under the Product Liability Act and for injury to life, body and health.
(2) For slight negligence, the Provider is liable only for breach of a material contractual obligation and limited to the foreseeable damage typical for such contracts.
(3) Otherwise liability is excluded. This applies in particular to decisions the customer makes based on the territory division derived from open map data.
§ 9 Term and Termination
(1) The contract runs for an indefinite period. The customer may terminate it at any time by deleting their account.
(2) The Provider may terminate the contract with 30 days' notice; the right to extraordinary termination for good cause remains unaffected.
§ 10 Copyright and Rights of Use
All rights to the software remain with the Provider. The customer receives a simple, non-transferable right to use it as agreed for the term of the contract. Map data is subject to the OpenStreetMap Open Database License (ODbL).
§ 11 Changes to the Terms
The Provider may amend these Terms with 30 days' notice. If the customer does not object within this period, the changes are deemed accepted; the Provider will point this out separately.
§ 12 Jurisdiction and Applicable Law
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) The exclusive place of jurisdiction for all disputes arising from this contract is Essen, insofar as the customer is a merchant, a legal entity under public law or a special fund under public law.
§ 13 Final Provisions
Should individual provisions of these Terms be invalid, the validity of the remaining provisions remains unaffected.
